These Terms & Conditions ("Terms") govern your use of the xengineering.net website and all X Engineering hardware products, firmware, software, mobile applications, and cloud-connected services (collectively, "Products"). By accessing the website or using any Product, you agree to be bound by these Terms. If you do not agree, do not use the website or Products.
These Terms should be read alongside our Privacy Policy, which governs how we handle your data.
By accessing or using the website, purchasing a Product, installing firmware, or creating an account, you confirm that you are at least 18 years old (or the age of majority in your jurisdiction), have the legal capacity to enter into a binding agreement, and agree to these Terms in full. If you are using Products on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.
Certain sections apply specifically to the website, the hardware product and connected services, or both. Where relevant, sections are labeled:

X Engineering products interface with vessel electrical systems, including alternators, battery banks, and NMEA 2000 networks. Incorrect installation or operation can result in electrical fire, battery damage, loss of vessel power, or other serious hazards. Installation must be performed only by qualified personnel familiar with marine electrical systems. Always follow applicable safety standards, including ABYC and NMEA guidelines. X Engineering assumes no liability for damage or injury resulting from improper installation, modification, or use.
GPS and navigation data provided by or derived from our Products is for informational and performance-tracking purposes only. It is not intended to be relied upon for primary navigation, collision avoidance, or safety-critical decision-making. Do not use leaderboard or performance features in ways that compromise vessel safety or violate applicable maritime regulations and rules of the road.
We grant you a limited, non-exclusive, non-transferable license to access and use xengineering.net for personal, informational purposes. You may not scrape, reproduce, republish, or commercially exploit any content from this website without our written permission.

Firmware updates may be provided at our discretion. We reserve the right to add, remove, or change features at any time.
Access to leaderboard features and cloud-connected services requires an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at joe@xengineering.net if you suspect unauthorized access.
Leaderboard features display performance data — including derived GPS metrics such as segment times, distances, and speeds — to other registered users. By enabling leaderboard features, you consent to this sharing. You are responsible for ensuring you have the right to share any data generated on shared or chartered vessels.
We reserve the right to suspend or terminate accounts that violate these Terms, submit false or manipulated performance data, or use leaderboard features in a manner that is abusive, fraudulent, or disruptive to other users.
When you use our Products and connected services, you transmit data to us including GPS and location data, electrical system performance metrics, and usage information. You retain ownership of data that is uniquely yours (such as your account profile and raw GPS tracks you explicitly upload), subject to the license below.
License You Grant to Us. By using our Products, you grant X Engineering a worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use, process, store, copy, modify, aggregate, de-identify, and otherwise exploit data generated through your use of our Products for any lawful purpose, including product improvement, research, and commercial activities. This license survives termination of your account.
Aggregated and De-Identified Data. We may aggregate and de-identify data from all users to create datasets, analyses, benchmarks, and commercial products. Such de-identified data is owned entirely by X Engineering and may be used or sold without restriction or compensation to you.
Future Data Commercialization. We do not currently sell individual user data. We reserve the right to do so in the future, subject to applicable law and our Privacy Policy. We will provide advance notice and honor any legally required opt-out rights before selling personal data.

All website content — including text, graphics, logos, and images — is the exclusive property of X Engineering and protected by applicable copyright law. No rights in website content are granted beyond viewing this site.
Firmware and Software. Released under the Creative Commons Attribution-NonCommercial 4.0 International License (CC BY-NC 4.0) as described in Section 4. Your rights with respect to firmware and software are governed by that license, not this section.
Hardware Schematics. Published schematics are released under the Creative Commons Attribution-NonCommercial 4.0 International License (CC BY-NC 4.0). You may share and adapt them for non-commercial purposes with attribution. Commercial use requires separate written permission from X Engineering.
Any feedback, suggestions, or ideas you submit to us regarding our Products may be used by X Engineering freely and without obligation or compensation to you.
ALL PRODUCTS, SERVICES, FIRMWARE, SOFTWARE, DOCUMENTATION, AND CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. X ENGINEERING EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
X Engineering makes no warranty or representation that:
It is your sole responsibility to validate all installations, configurations, and integrations before deployment. You assume all risk associated with the selection, installation, and use of X Engineering products in your specific application.
All sales are final. X Engineering does not accept returns and does not issue refunds under any circumstances, including but not limited to incompatibility with your vessel or equipment, installation difficulties, buyer's remorse, or change in requirements. By completing a purchase, you acknowledge and agree to this policy.
If you receive a product that is materially defective due to a manufacturing error, contact us at joe@xengineering.net within 30 days of receipt. We will evaluate defect claims at our sole discretion and, if a defect is confirmed, our sole obligation will be replacement or repair of the affected unit. This does not constitute a warranty or modify the no-returns policy in any other respect.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL X ENGINEERING, ITS OWNERS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, BUSINESS, GOODWILL, VESSEL DAMAGE, PERSONAL INJURY, PROPERTY DAMAGE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:
WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF X ENGINEERING HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN ALL CASES, X ENGINEERING'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE WEBSITE OR PRODUCTS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO X ENGINEERING IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.
You agree to indemnify, defend, and hold harmless X Engineering and its owners, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your violation of these Terms; (b) your use or misuse of the website or Products; (c) your installation, modification, or integration of hardware into any vessel or system; (d) your violation of any law or third-party right; or (e) any data you submit, transmit, or make public through leaderboard or account features.
Our website and Products may include links to or integration with third-party websites, services, or devices (including NMEA 2000 network devices from other manufacturers, mobile operating systems, and app stores). We are not responsible for the content, privacy practices, or availability of third-party services. Your use of third-party services is governed by their own terms and policies.
Inclusion of any third-party link or integration does not imply endorsement or certification by X Engineering.
These Terms are governed by and construed in accordance with the laws of the State of Maine, USA, without regard to conflict of law principles. You agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the website or Products shall be resolved exclusively in the state or federal courts located in Maine, and you consent to the personal jurisdiction of those courts.
Informal Resolution. Before filing any formal claim, you agree to contact us at joe@xengineering.net and provide a written description of the dispute. We will attempt to resolve the matter informally within 30 days. If we are unable to reach a resolution, either party may then pursue formal proceedings.
Class Action Waiver. To the extent permitted by law, you agree to bring any claims against X Engineering in your individual capacity only, and not as a plaintiff or class member in any class, collective, or representative action.
We reserve the right to modify these Terms at any time. Material changes will be communicated to account holders via email or in-app notice. The effective date at the top of this page will reflect the most recent revision. Your continued use of the website or Products after notice of changes constitutes your acceptance of the updated Terms. If you do not agree to revised Terms, you must stop using the website and Products.
